It is recognized as a conflict of interests of the director, arising due to his position of being a fiduciary in different companies. The common law prohibits the director to take advantage of his position for his benefit. Section 189 provides that if a director of a company relies on any information given by an employee of the company in good faith, whom he considers to be reliable and acting towards the benefit of the company, then such reliance of the director upon that employee is considered as reasonable in law. Section 190 (2) provides that if certain powers are delegated by the director of the company to a person then he will not be responsible for any acts done by that person only if the director believed: In good faith; On reasonable grounds and; Did proper inquiry if the inquiry was indicated by the existing circumstances; that the delegated person was reliable and exercised his power carefully. Sections 1317S and 1318 of the Act grants powers to the court to provide relief to a director from civil liabilities, if he fairly deserves to be excused. 1317 E: The ASIC can apply to the court to declare contravention of the breach of directors duty. 1317G: After the declaration, it can also seek for order of pecuniary penalty under this section 588 (H): This is the defense available to a director who makes a breach of duty under section 588 (G). He can escape liability by proving the three required conditions; he had reasonable ground to believe the company to be a solvent, but he did not participate in the management of company on account of being a non-executive director, Section 26 (2) of the Corporate Affairs Commission: may impose a civil pecuniary penalty of $200,000 and if he makes a breach of provision of civil penalty, then he may be subjected to criminal proceedings as well under the Section 184 (2) of the Corporation Act. The Australian Securities and Investment Commission (ASIC) can definitely take action against Roger. It can apply to the court for the following: A contravention declaration. Order for pecuniary penalty. Order for compensation. Section 206C: provides that the commission may disqualify a director from his position. Section 588 (G): provides that it is the breach of duty by the director if: At the time, the company incurred debt, he/she was director of that company. The company had been either already insolvent or became insolvent due to the incurring of debt. There existed reasonable grounds to suspect that the company would become insolvent The director was aware of such grounds; or Any reasonable person, in similar circumstances would be aware. He/she became unsuccessful in preventing the company from insolvent trading. Application 1.Question- Growfast Pty Ltd (Growfast) operates a wholesale nursery growing and selling garden plants. Sam, Peter and Rose are the only shareholders and directors. Sam manages the company's day-to-day operations. Peter, who left school at 14 and has no tertiary qualifications, is in charge of the nursery. Rose is a non-executive director who does not take an active part in the management or operations of the company. Until recently, Growfast has been very profitable. However, six months ago, a competing business opened nearby and since then Growfast's profits have dropped considerably. Sam thinks that Growfast should move to larger premises in a different area. Without consulting Peter or Rose he starts looking for new premises and he decides the first place he inspects is perfect, although the price is more than Growfast can comfortably afford. Sam does not think this will be a problem, because there is no competition nearby and he expects that profits will recover immediately. Sam calls a board meeting and tells Peter and Rose that moving will solve all the company's problems and that this property he has seen is absolutely perfect for Growfast. He says they will have to act quickly as there is another interested purchaser. Sam does not tell Peter and Rose that he only looked at this one property. He is so enthusiastic that both Peter and Rose agree to the proposal even though Rose is doubtful, feeling that they are being rushed into making a decision without being given time to consider other alternatives. Peter agrees to Sam's proposal without really understanding the financial implications. Growfast purchases the new premises but, because of continuing dry weather, its profits remain low. Rose is becoming worried about her obligations as a director, especially if Growfast's financial position deteriorates any further. (a) Advise Rose about: (i) her position in respect of any breaches of her general law or statutory duty of care and diligence as a director; (ii) whether her decision to agree to the purchase of the new premises would be protected by s 180(2); and (iii) any possible liability for insolvent trading under s 588G if Growfast became insolvent. (b) Advise Peter as to his position in respect of any breaches of his duty of care and any possible liability for insolvent trading if Growfast becomes insolvent. Solution I: a.(i) Rose does not seem to have fulfilled the conditions of section 180, 189 and 190. In spite of being suspicious about the circumstances, she did not try to inquire about the reasonableness of the Sams decision with regard to the future aspects of shifting the nursery. She could take the defense of sections 189 and 90 only if he had done suitable precautions in ding inquiry about Sams decision and would have found Sam to be taking an appropriate decision in her opinion. Her carelessness amounted to breach of her duties as a director. In the recent case, James Hardie decisions: ASIC v Hellicar Ors; Shafron v ASI, it was held that the several non-executive directors breached their duty of care and diligence in exercising their powers as directors and are expected to be cautious in the major decisions. In another case, Australian Securities and Investments Commission v Rich and Others, it was held, in spite of the fact that a director was a non-executive director, owing to his qualification and experience, he had a responsibility towards the corporation and also had the duties of a director and was thus accountable for breach of duty of care and diligence on his part. (ii) Hence, it can be said that Rose would be liable for breach of duty of care and diligence as a director and would be liable for the consequences. In this case, although Rose had no dishonest intention or personal interest in the judgement decision taken by her, but she had some doubt that the business judgement decision was being taken in a hurry. But, she did not take necessary precautions as required by section 1318. Nor did she herself believe that the decision was actually in the best interests of the company, as required by the last condition of section 180 (2). As demonstrated in a similar case, ASIC v Rich, It was held that it was not a reasonable explanation given by director that an important duty of financial transaction was delegated to a person and he completely relied on that person. It was held that the director did not act in a proper manner and with precautions. (iii) Hence, Rose is not likely to be protected under section 180 (2) and would be held liable for breach of her duty. In the given case, Rose already suspected about the decision of Sam and had reasonable grounds to suspect that the company would become insolvent. In spite of all the existing circumstances and the doubts, rose failed to take any steps to prevent the company from insolvent trading and supported Sam in trading, while the company incurred debt. Thus, Rose would be liable for insolvent trading under section 588 (G) as mentioned above. (b)Thus, the situation of Peter would be same as that of Rose, in case the company becomes insolvent. The lack of education of Peter will not make any difference. In a similar case of Gamble v Hoffman., the director was not allowed to take a defense of the ignorance and lack of education to avoid his liability.Rather, due to lack of understanding of Peter, he would probably not be able to take the defense of section 189 and 190, as he was not in a position to delegate the powers to Sam. In case of insolvent trading also, he would be able to take the defense of section 588 (H) more appropriately. His ignorance would prove beyond reasonable doubt that he did not take part in the proceedings of the company. Peter will not be able to take the defense of sections 189, 190 but will be able to take of section 588 (H). 2.Question-Roger is a director of two companies: BHT Pty Ltd and Rubicon Pty Ltd. Both companies are in the business of property development. Whilst on a business trip for Rubicon in the United States he comes across a development site which he purchases by paying a deposit. He indicates on the contract of sale that the purchaser is BHT Pty Ltd. The development site was sold for $2.5 million. Roger justifies his purchase of the site for BHT on the basis that Rubicon could not afford the site anyway and would most likely not be interested in developing a site overseas since all of their properties are located in Australia. (a) Is Roger in breach of his directors' duties with Rubicon Pty Ltd? (b) Does Roger have an arguable defence? In your view would his defence succeed? (c) What could Roger do now to prevent any further repercussions under the Corporations Act? (d) Could the Australian Securities and Investments Commission (ASIC) take action against Roger? Solution II: (a)Roger made a breach of duty under section 182-83. He misappropriated the opportunity provided by Rubican Pty Ltd and bought a development site for BHT Pty. Ltd. He had the fiduciary relationship with the Rubican Pty. Ltd. on account of his position as a director of the Rubican. He misappropriated that relationship and took advantage of that position for buying property for BHT Pty Ltd. and it can be assumed that he did that for personal profits. As it was held in the Regal (Hastings) Ltd v Gulliver, that irrespective of the intention of a person, if a person gains profit on account of being a director of a company and takes advantage of his position, liable to pay for that profit. Thus, Roger made a breach of his duty under section 182-183 of the Australian Corporation Act and would be liable to pay for the profits made by him and civil proceedings may be initiated against him. (b)In Permanent Building Society (in liq) v McGee, the court took a strict view that if director being the director of two companies, intentionally dd not disclose the lack of resources of one company to pay the loan to another company and allowed the other company to give loan to the first company, he made a breach of fiduciary duty and was liable for the breach.It was held by the court in the case of ASIC v Vizard, that if Vizard misused confidential information of the company owing to his directorship, he was guilty of breach of his duty under section 183. The court disqualified him from managing activities and also made him pay pecuniary penalty.Similarly, Roger is not likely to succeed in his arguments and may have to suffer the civil and/or criminal penalties. Hence, Roger may be directed by the court to pay for damages as compensation for the loss suffered by the company along with a fine and he may also be removed from the position of director along with a 5 years imprisonment. (c)The only option available with Roger is to make a complete disclosure of his conflicting interests to the Rubican company on the first meeting of the Board that he had an interest in a matter which was relevant to the company and to seek ratification for the same. However, Roger should have presented a proposal of buying the development site in front of Rubican, if he would have acted in good faith and then after the Rubicans rejection, he had purchased the site, he would have been on a safer side and would have avoided the liability of breach of his duties Thus, if Roger gets disqualified from managing the affairs of the company, he may apply for a leave to the court to manage the company under Section 206 (B) of the Corporation Act. Moreover, (d) Thus, based on above laws of Section 26 (2), 206 (C) and 588 (G) of the Act, the Commission can demand for disqualification of Roger from the position of directorship, apply to the court for declaring contravention of breach of directors duty by Roger. American society is portrayed in Michael Jackson’s song â€Å"Black or White. † Whereas the racism is defined as a superior behavior against other race-thus making it inferior, the singer refers to this term as â€Å"See, it’s not about races, just places, faces, where your blood comes from is where your space is. † Michael Jackson, one of the most influential artists in the music industry, calls for equality in how people view and behave towards each other. The question, which this master thesis investigates, does it matter if you’re black or white, is clearly answered by the singer: â€Å"It don’t matter if you’re black or white. † Jackson was trying to influence his society to act in a similar way and he calls for them to live their lives by Dr. Luther’s dream â€Å"†¦. judged not by the color of their skin, but by the content of their character. † However, almost thirty years later, it still seemed only as a dream because he sang: â€Å"I’m tired of this Devil†, where the bad is being represented by the prejudice. At the same time, he clearly states: â€Å"I’m not gonna spend my life being a color† – this is where he makes his conclusion. This can imply that even though he doesn’t discriminate and would like to see color prejudice gone, he is still being discriminated against. While being the most prominent artist in the music industry, he still calls himself â€Å"a color† and he rebuts against it and wants to be seen for the person he is and not the pigmentation of his skin. It is widely known that Michael Jackson had many facial plastic surgeries and it is controversial whether or not he altered his skin color by chemical peels or was it the disease called vitiligio that changed his face color to white. Therefore, it can be speculated that he modified skin to appear white, which ultimately is his vision. It can be further questioned – since Michael Jackon can’t win his struggle for racial equality, did he give up and go white – just to end his inner battle? Will all his suffering come to closure since now he looks white? Is this the true answer? It may be deemed as so since the skin color is the guide of one’s position in the society where being white claims supremacy-control and power. It should be noted that Michael Jackson is one of the greatest musicians of all times, having sold over 750 million records worldwide. He has accomplished so much in his life, yet still feels inferior and calls for racial equality in the world. His vision for a better world to live in, free of racism, ends on a sad note: â€Å"It’s black, it’s white†. To summarize, through decades, the blacks have fought to be equal, as the American nation shall guarantee those rights, yet, the society is still divided into the superior, the whites, and inferior- the blacks (and other people of color). Blacks have always been portrayed as the dirty, the poor, the lesser-of-a human type whereas the whites are seen as the dominant, the good type. Again, Jackson does not agree with this stereotype in saying: â€Å"I ain’t second to none. †Moreover, he claims that he will no longer be scared and mentions historical symbol of a KKK group: â€Å"I ain’t scared of your brother, I ain’t scared of no sheets. With his passing in 2009, many of his inner struggles come to the end, but will the next generation start working on being color-free as the king of pop envisioned? America has always struggled with racial issues, especially those of black and white. Some them included racial segregation, education, workforce, banking and even seating on the bus. Black people continuously tried to â€Å"break thru† into community, but were always pushed aside as dirty, poor and unwelcome. We, in modern times, see the United States of America as a country that treats everyone equal. Americans should all be all equal, no matter what race, color, religion or any other characteristics they have. After all, we all remember year 2009, which is when Americans elected their first African American President. Question that comes to mind – why â€Å"first African American President,† not just simply their 44th President? So – the race and color of your skin does matter in modern times. My analyses of selected books, academic journals, films and music video will concentrate and argue if Americans indeed discriminate against race or if it is history and no longer exists in American life. First, I would like to take into consideration the iconic Michael Jackson, one of the greatest, perhaps the greatest singer and performer of the 21st century. Not only his songs deserve a closer look, but also his lifestyle – ideas, fears and the public opinion. â€Å"Black or White† by Michael Jackson and Bill Bottrell is a one of the greatest singles in Michael’s career. It was released on November 11, 1991. What inspired Michael to particularly select these two topics? Black or white – as implied in the song, he sings about skin color. Songs starts in Africa, possibly showing Jackson’s â€Å"beginning† – he is black. In one of the scenes, Michael sings â€Å"I ain’t scared of no sheets; I ain’t scared of nobody† while he is walking through fire images – which is being compared to KKK and its torch ceremonies. Here, he is portraying his painful vision of KKK and its vision. Later, the performers sing â€Å"I’m not gonna spend my life being a color. † What a great statement. Michael, throughout his whole life and his career, shows us his inner and constant fight for a non-racial America. Being black himself, he had struggled and finally came to the top, but still did not achieve the level of happiness – which is â€Å"no color† in his country. Later, Jackson sings on Statue of Liberty’s torch, again possibly reminding us about the KKK, and at the same time – the Statue symbolizes liberty, which for him will be color-free, no discrimination America. We shouldn’t forget about Michael’s actions in this video. In the original version, he is smashing the car, windows and the inn exploded. However, later he had to edit this version to minimize his violent behavior, however. He altered it by adding four racial graffiti messages onto the windows that he was smashing. As I suggested earlier, Michael Jackson is portrayed as an angry black man who simply hates the discrimination against black people and shows his feelings by destroyed his surroundings, as he was being destroyed himself –just for being of black color. In is interesting to observe, the Jackson, when asked to change his destructive aggressive music video, he indeed did change it, but didn’t forget about this hostility towards discrimination. He had just portrayed it differently (graffiti). First message reads: â€Å"Hitler Lives,† then â€Å"Nigger Go Home,† â€Å"No More Wetbacks,† and finally â€Å"KKK Rules. † It can be argued if Michael Jackson is simply smashing windows with those painful ideas – is destroying them – to make a better world? Finally, the song comes from the album â€Å"Dangerous. † What did the author have in mind? Are all of those issues, painful experiences and the fight for non-colored America dangerous? It can be argued that yes. Jackson showed us the dangerous side of being black, where he was always forced to fight and that causes different sorts of trouble. In â€Å"Black or White,† Michael brilliantly portrayed two core problems people were facing daily: black or white. As we look at his lifestyle and constant metamorphoses, Michael Jackson had numerous surgeries that altered the color of his skin and make him â€Å"white. † It is very controversial as many sources quote that Jackson had a condition where one looses a pigment of his skin, called vitiligo. However, Michael Jackson public image is seen as a person who constantly tried to be white, therefore, sought surgeries to help him attain this goal. Michael Jackson shows us that it could have probably been easier to make himself white and not struggle for color-free America, where everyone is equal, no matter of who there are or what they look like. It would also be important to analyze some of the lyrics from Jackson’s music video. He sings: â€Å"I had to tell them I ain’t second to none. † It can be understood that he no longer is accepting the fact that black is â€Å"second,† which is worse, just because of the color. He continues: â€Å"And I told about equality† – he tells us he wants to be considered equal, despite his skin color. J.R.R. Tolkien was motivated by different elements in his life to write The Lord of the Rings. Tolkien was an admirable British writer and scholar best known for the author-illustrated children’s book The Hobbit and its adult sequel The Lord of the Rings (O’Neil 1529). The Hobbit is the biggest part of why he wrote The Lord of the Rings, along with every feature of his successful life. In 1930, Tolkien jotted a few enigmatic words about â€Å"a hobbit† on the back of an examination paper he was grading. â€Å"Names always generate a story in my mind,† he observed, and eventually he found out what hobbits were like (Rollyson 4462). The few words Tolkien jotted down led his imagination run wild and his mind hungry for more words. On September 21, 1937, Tolkien’s fantasy and children’s novel, The Hobbit was published (Rollyson 4456). Shortly after this novel was published, Tolkien’s publisher wrote him that his public would want to hear more about the hobbits next year. Sometimes the food would be pig blood and liver made into a soup or chicken feet.To me, I don’t eat that stuff and if I had a decision you would see me running to the nearest fast food restaurant for something I considered â€Å"normal†. But it’s one of my parent’s favorite dishes, so it’s usually made often and thus giving me the feeling of wanting to throw up every time I see it. However, to every else that’s just like me; Americanized, it would probably be gross. I mean who would want to eat pig liver and blood or even chicken feet—where it looked like a legit foot chopped s traight off from a chicken just seasoned, cooked, and flavored.But to top it off, being from a Chinese family also meant that anything that was considered â€Å"weird† was not accepted, so since being a left-handed person/writer, have multiply piercings, and so many other things was thought to be weird. For my sister, she started off being a left-handed person, so my mother would slap her hands when she was little to make sure she would write with the proper hand. Of course nowadays, being a left-handed person is normal, but before my parents didn’t believe so.But now that my parents have been living here in the United States for some time now, they have become more Americanized and have let go of some of their cultural traditions—which, at times I am glad of because now I don’t have to worry about being the straight A student or being perfect at everything. But in the end, despite all these weird traditional food and Chinese culture this is who I am. A special circulatory adaptation known as countercurrent heat exchange enables both of these animals to maintain the appropriate body temperature in their extremities, and this is only one of the many clever adaptations mammals have evolved over the last hundred million years to help them to deal with variable temperatures. Mammals Are Endothermic All mammals are endothermic—that is, they maintain and regulate their own body temperature, no matter the external conditions. (Cold-blooded vertebrates, like snakes and turtles, are ectothermic.) Living in widespread environments around the world, mammals face daily and seasonal fluctuations in temperatures and some—for example, those indigenous to harsh arctic or tropical habitats—have to deal with extreme cold or heat. To maintain their correct internal body temperature, mammals must have a way to produce and conserve body heat in colder temperatures, as well as dissipate excess body heat in warmer temperatures. The mechanisms mammals have for producing heat include cellular metabolism, circulatory adaptations,  and plain, old-fashioned shivering. Cellular metabolism is the chemical process that constantly occurs within cells, by which organic molecules are broken down and harvested for their internal energy; this process releases heat and warms the body. Circulatory adaptations, such as the countercurrent heat exchange mentioned above, transfer heat from the core of the animals body (its heart and lungs) to its periphery via specially designed networks of blood vessels. Shivering, which youve probably done some of yourself, is easiest to explain: this crude process generates heat by the rapid contraction and shaking of muscles.   If An Animal Gets Too Warm What if an animal is too warm, rather than too cold? In temperate and tropical climates, excess body heat can accumulate quickly and cause life-threatening problems. One of natures solutions is to place blood circulation very near the surface of the skin, which helps to release heat into the environment. Another is the moisture produced by sweat glands or respiratory surfaces, which evaporates in comparatively dryer air and cools the animal down. Unfortunately, evaporative cooling is less effective in dry climates, where water is rare and water loss can be a real problem. In such situations, mammals, like reptiles, often seek protection from the sun during the hotter daylight hours and resume their activity at night.
